Kashxa Merchant Partnership Agreement

Effective Date: Upon Registration

This Agreement ("Agreement") is entered into between the Merchant ("Merchant," "You," "Your") and Kashxa ("Kashxa," "Platform," "We," "Us," "Our"), a technology platform that enables online shopping and delivery services in Iraq.

1. Definitions

• "Platform" refers to the Kashxa mobile application and any web-based tools provided.
• "Commission" refers to the percentage charged on completed orders.
• "Products" refers to goods listed by the Merchant for sale on Kashxa.
• "Customer" refers to end users who purchase products via the Platform.

2. Merchant Registration

• Merchants must register through the official Kashxa app or website.
• Merchant approval is subject to review and verification.
• Kashxa reserves the right to reject or suspend any merchant account.

3. Commission & Fees

• Commission Rate: 10% per completed order.
• Service Fee: 500 IQD charged to the customer per order (not deducted from merchant).
• Listing Fee: Free for basic shop listing.

4. Premium Services (Optional)

• Featured Shops: Paid subscription for enhanced visibility.
• Promotion Slots: One-time payment for homepage exposure (3, 5, or 7 days).

5. Product Listing & Quality

• Products must comply with local laws and Kashxa's content policies.
• Descriptions and images must accurately represent the product.
• Prohibited items (e.g., weapons, counterfeit goods, restricted substances) are not allowed.

6. Order Fulfillment

• Merchants are responsible for preparing and packaging orders.
• Orders must be ready within the stated preparation time.
• Delivery can be handled by the merchant's own drivers or through Kashxa's delivery network.

7. Payment Terms

• Cash on Delivery (COD): Merchant receives payment directly from the driver or customer.
• Card Payments: Processed through the platform; settled to merchants based on the payout schedule.
• Commission is deducted from card payments before settlement.

8. Returns & Refunds

• Customers may request returns within 48 hours of delivery for valid reasons.
• Returns are subject to merchant approval (except for defective/wrong items).
• Kashxa does not handle returns for perishable or custom products unless agreed.

9. Merchant Responsibilities

• Maintain accurate inventory and pricing.
• Respond to customer inquiries and order issues promptly.
• Comply with all applicable tax and business regulations.

10. Platform Rights

• Kashxa may remove any listing that violates policies.
• Kashxa may adjust commission rates or fees with 30 days' prior notice.
• Kashxa may feature, promote, or de-prioritize merchants at its discretion.

11. Exclusivity

This agreement is non-exclusive. Merchants are free to sell on other platforms or through their own channels.

12. Termination

• Either party may terminate with 7 days' written notice.
• Kashxa may immediately suspend accounts for violations of this agreement.
• Outstanding payments will be settled upon termination.

13. Governing Law

This Agreement is governed by the laws of the Kurdistan Region, Iraq.
